Software code, frameworks, or tools provided as part of training or consulting
1.2. All rights are reserved. No material from LDSemis may be copied, reproduced, shared, distributed, sold, sub-licensed, or used to create derivative works for commercial purposes without explicit prior written consent.
1.3. Corporate clients are granted a limited, non-exclusive, non-transferable license to use purchased training or consulting material for internal business purposes only. Redistribution to third parties (affiliates, subsidiaries, contractors, or competitors) is strictly prohibited unless separately licensed.
2.1. Any material, methodology, business insights, or custom solutions provided during corporate training, advisory, or consulting engagements are considered Confidential Information.
2.2. Clients agree not to disclose, reproduce, or use LDSemis’ Confidential Information except for their internal, agreed business purposes.
2.3. Unauthorized disclosure, copying, or commercial use of LDSemis’ Confidential Information may result in legal action for damages, injunctions, and termination of services.
2.4. LDSemis equally respects the confidentiality of Client data and will not disclose Client-sensitive information without prior written approval, except where required by law.
You must not:
Republish or resell LDSemis content (training, consulting, reports, materials) without permission
Share access to licensed digital resources beyond your organization’s authorized users
Use LDSemis’ name, logo, or materials for endorsement, promotion, or commercial use without approval
Reverse-engineer, modify, or create derivative works from LDSemis materials for competitive offerings
Any comments, feedback, or user submissions on the website remain the responsibility of the user.
By posting feedback or testimonials, you grant LDSemis the right to use such submissions for marketing and promotional purposes.
Approved organizations (governments, search engines, media outlets, directories) may link to our website under fair usage. Corporate use of LDSemis’ name or logo in hyperlinks requires prior written consent.
LDSemis provides educational and consulting services “as-is”, without guaranteeing specific outcomes such as job placements, business results, or academic performance.
While we take utmost care, LDSemis is not liable for any business, financial, or reputational loss resulting from the use of its training, consulting, or recommendations.
Clients must apply their own professional judgment before implementing any advice.
Unauthorized access, hacking, scraping, or automated data extraction from our platform is prohibited.
Any malicious activity will be treated as a Cyber Crime and reported at cybercrime.gov.in and relevant enforcement agencies.
LDSemis reserves the right to suspend or permanently ban users or corporate accounts involved in such activities.
LDSemis reserves the right to update these Terms without prior notice.
Continued use of our website or services constitutes acceptance of updated Terms.
LDSemis reserves the right to terminate services immediately in case of breach of these Terms.
These Terms shall be governed by and construed under the laws of India, and disputes shall be subject to the jurisdiction of the courts in Kolkata.

These Terms & Conditions govern the use of all practice materials, assignments, mock tests, and final certification exam questions provided by Learn and Design Semiconductors (LDSemis). By enrolling in any course, accessing study resources, or attempting certification exams, you agree to the following:
All practice materials, assignments, mock tests, and certification exam questions are the exclusive intellectual property of LDSemis.
You are granted a limited, personal, non-transferable license to use these materials solely for your own learning and exam preparation.
Reproduction, distribution, sharing, or resale of any LDSemis materials (in whole or in part) is strictly prohibited.
You agree that you will not:
Share practice questions, mock tests, or exam content with others, either online or offline.
Post or publish LDSemis materials on any platform (including social media, forums, or websites).
Use LDSemis materials for any commercial training, coaching, or consultancy without prior written permission.
Attempt to record, copy, or replicate the final certification exam questions in any form.
All certification exams and their questions are confidential. By attempting the exam, you agree not to disclose, distribute, or reproduce the exam content in any format.
LDSemis reserves the right to disqualify, revoke certification, or ban participation if any breach of confidentiality is detected.
Learners are expected to complete practice assignments and certification exams with honesty and academic integrity.
Use of unauthorized aids, impersonation, or cheating during the certification process is strictly prohibited.
LDSemis reserves the right to nullify results, withdraw certifications, and deny future access in case of malpractice.
Corporate or institutional clients who license LDSemis materials for employee training must ensure compliance with these terms.
Materials may only be used for internal training and cannot be resold, redistributed, or modified for external use.
Any violation of these Terms will be treated as infringement of intellectual property rights and may result in civil or criminal action.
LDSemis reserves the right to seek damages, injunctions, and legal remedies under applicable law.

Training Programs / Courses: Once enrolled, course fees are non-refundable. In case of genuine issues (technical failure, duplicate payment, or course cancellation by LDSemis), refunds may be processed at our discretion.
Corporate Training / B2B Services: Payments are governed by the terms of the signed agreement with the client. Any refunds, if applicable, will follow contractual terms.
Event Registrations / Business Webinars: Fees are generally non-refundable. However, if an event is rescheduled or canceled, registered participants may be offered an alternative session or a partial refund.
Duplicate or Failed Transactions: Full refunds will be processed back to the original payment method within 7–10 working days.
The following terms apply specifically to all training content, tutorials, articles, and videos published under TechSimplifiedTV on its official YouTube channel and blog (www.techsimplifiedtv.in).
All videos, articles, tutorials, slides, images, and other training resources published under TechSimplifiedTV are the intellectual property of TechSimplifiedTV and its founders.
Learn and Design Semiconductors (LDSemis) owns the full rights to TechSimplifiedTV, including its training materials, media assets, and brand identity.
Any slides, imageries, or text content associated with TechSimplifiedTV or LDSemis must not be copied, used, or reproduced without prior written consent jointly from LDSemis and TechSimplifiedTV.
Learners may access and use TechSimplifiedTV materials only for personal, non-commercial educational purposes.
You may share links to TechSimplifiedTV videos and blog articles, provided the content remains unaltered and proper credit is given.
You must not:
Download, mirror, or re-upload TechSimplifiedTV content (videos, blog posts, slides, or images) to other platforms.

TechSimplifiedTV and LDSemis shall not be held responsible for any loss, damages, or consequences arising from the application of concepts shared in its materials.
Select training materials from TechSimplifiedTV may be used, referenced, or integrated into Learn and Design Semiconductors (LDSemis) programs.

The following terms apply specifically to any customised training material (presentations, slides, manuals, problem sets, case studies, or recorded sessions) developed by Learn and Design Semiconductors (LDSemis) and/or TechSimplifiedTV for a company, institute, or organization.
All customised training material created by LDSemis and TechSimplifiedTV remains the exclusive intellectual property of LDSemis and TechSimplifiedTV, unless otherwise agreed in writing.
Commissioning a customised program does not transfer copyright or ownership of the training material to the client.
The client is granted a limited, non-exclusive, non-transferable license to use the customised material solely for the purpose agreed in the training engagement.
The client may:
Use the customised training material internally within their organization or institute for training purposes.
Share the material only with employees, students, or members who are part of the agreed training program.
Access recordings (if provided) only for internal learning and knowledge enhancement.
The client must not:
Reproduce, distribute, or sell the customised training material to third parties.
Upload the material to any public or commercial platform (e.g., YouTube, online course marketplaces, or MOOCs) without written consent.
Use the material for any purpose outside the scope of the agreed engagement (e.g., external consultancy, paid coaching, or re-training for profit).
Alter, edit, or rebrand the material to remove LDSemis/TechSimplifiedTV attribution.
🚫 Any unauthorized usage or redistribution will invite legal action under applicable Intellectual Property laws.
Both LDSemis/TechSimplifiedTV and the client agree to maintain confidentiality of each other’s proprietary information shared during the course of the training.
Training content tailored using client-specific information (e.g., processes, case studies) will remain confidential and not disclosed publicly without mutual consent.
Customised training materials are designed for educational and knowledge enhancement purposes only.
LDSemis and TechSimplifiedTV make no guarantees regarding specific business, academic, or financial outcomes resulting from the application of the training.
The client assumes full responsibility for implementing knowledge gained from the training.
LDSemis and TechSimplifiedTV reserve the right to incorporate generalised learnings, anonymised examples, and non-confidential elements from customised programs into future training offerings, research, or publications.
Such integration will never include client-sensitive data without prior written approval.

The following terms apply to all digital certificates issued by Learn and Design Semiconductors (LDSemis) and TechSimplifiedTV that are uploaded, stored, or made accessible via GitHub repositories.
All certificates are the intellectual property of LDSemis and TechSimplifiedTV.
Certificates issued via GitHub are official and digitally verifiable, provided they are distributed directly from LDSemis/TechSimplifiedTV repositories.
Any modification, duplication, or tampering of certificate files without authorization is strictly prohibited.
Holders of certificates may:
Download and retain a copy of their certificate for personal records.
Share certificates in professional portfolios, resumes, or LinkedIn profiles for career advancement.
Reference certificates publicly, provided the content is unaltered and attribution to LDSemis/TechSimplifiedTV is clear.
Certificate holders and third parties must not:
Alter, edit, or forge LDSemis/TechSimplifiedTV certificates in any form.
Redistribute certificates belonging to others without consent.
Upload certificates to unauthorized platforms claiming independent issuance rights.
Use certificates for fraudulent purposes such as impersonation, fake credentials, or unauthorized endorsements.
🚫 Any attempt to forge or misuse certificates will invite immediate revocation and legal action under applicable Intellectual Property and Cybersecurity laws.
LDSemis and TechSimplifiedTV reserve the right to revoke or invalidate certificates at any time in cases of:
Misuse, forgery, or misrepresentation.
Breach of training, exam, or participation terms.
Violation of LDSemis/TechSimplifiedTV intellectual property rights.
Certificates signify successful completion of specific LDSemis/TechSimplifiedTV programs but do not guarantee employment, admission, or professional advancement.
LDSemis and TechSimplifiedTV are not liable for any third-party interpretation, acceptance, or rejection of certificates.
Certificates uploaded on GitHub may include unique IDs, metadata, or digital signatures for authenticity verification.
Employers, institutions, or third parties seeking validation should contact LDSemis/TechSimplifiedTV directly for official verification.

1. Scope of Service
Counseling and mentoring sessions are intended to provide professional guidance, doubt clearing, and career advice in the semiconductor/VLSI domain.
Sessions are advisory in nature and do not constitute guaranteed placements, job offers, or academic credits.
2. Session Booking & Payments
All 1:1 sessions must be pre-booked via official LDSemis channels.
Payments (if applicable) must be made in full before session confirmation.
Cancellations or rescheduling requests must be made at least 48 hours prior to the scheduled session.
3. Confidentiality
Both the mentor and mentee agree to maintain confidentiality of discussions during sessions.
Recorded sessions (if allowed) may only be stored or shared by LDSemis with prior written consent from all parties.
4. Intellectual Property
Any slides, notes, or customized material shared during sessions remain the intellectual property of LDSemis and must not be redistributed, sold, or repurposed without prior written consent.
5. Code of Conduct
Mentees are expected to maintain professionalism and respect towards mentors.
Any inappropriate behavior may result in session termination without refund.
6. Limitation of Liability
LDSemis mentors will provide advice and guidance to the best of their ability; however, LDSemis does not guarantee outcomes (e.g., job offers, exam success, or project results).
LDSemis is not responsible for decisions made by mentees based on counseling input.
7. Joint Consent Requirement
Use of LDSemis or TechSimplifiedTV brand names, materials, or imagery in reference to counseling/mentoring outcomes requires prior written approval jointly from both LDSemis and TechSimplifiedTV.
8. Amendments
LDSemis reserves the right to update or modify these Terms & Conditions at any time without prior notice. Continued participation in sessions constitutes acceptance of the revised terms.

The Learn and Design Semiconductors (LDSemis) logo is a legally protected and a key element of our brand identity. By accessing, downloading, displaying, or using the LDSemis logo in any format, you agree to the following terms and conditions:
The LDSemis logo is the exclusive intellectual property of Learn and Design Semiconductors (LDSemis) and its founders.
All rights, title, and interest in the logo are fully reserved. Unauthorized use of the logo is strictly prohibited and may result in legal action.
You may use the LDSemis logo only under express written permission from LDSemis, and solely for:
Official collaborations, partnerships, or sponsorships.
Educational, training, or promotional material where LDSemis is a confirmed participant.
Media references (press articles, event coverage) provided the use is accurate and not misleading.
You must not:
Alter, distort, or modify the LDSemis logo in any way (color, proportions, fonts, shapes, orientation).
Use the logo in association with false, defamatory, obscene, or unlawful content.
Display the logo in a manner that implies an endorsement, affiliation, or partnership with LDSemis without written approval.
Sell, distribute, or reproduce the logo for commercial purposes without authorization.
Incorporate the logo into your own branding, logo, or product identity.
The logo must be displayed in a clear, respectful, and professional manner.
Sufficient clear space must be maintained around the logo to preserve visibility.
The logo must never appear smaller than the minimum size specified in official LDSemis brand guidelines (where applicable).
LDSemis reserves the right to revoke permission for logo use at any time, for any reason, at its sole discretion.
Upon revocation, you must immediately discontinue all use of the LDSemis logo in print, digital, or physical formats.
Unauthorized or improper use of the LDSemis logo will be treated as a violation of intellectual property rights and may lead to civil and/or criminal proceedings under applicable laws.
LDSemis reserves the right to claim damages, injunctions, and other remedies available under law.

For our corporate training, consulting, and advisory engagements, Learn and Design Semiconductors (LDSemis) provides an Intellectual Property & Confidentiality Agreement Addendum.
This addendum is a short, enforceable agreement that ensures:
Our intellectual property, training content, and consulting deliverables remain protected.
Both parties respect confidentiality of shared business insights, methodologies, and proprietary information.
Usage of LDSemis materials is strictly limited to internal business purposes.
Corporate clients will be required to review and sign this addendum prior to the commencement of any engagement, in addition to accepting our Terms & Conditions.
This Addendum (“Agreement”) is entered into by and between:
1. Learn and Design Semiconductors (LDSemis), represented by its founders and co-founders (hereafter “Provider”),
and
2. [Client Company Name], having its registered office at [Client Address] (hereafter “Client”).
This Agreement supplements any existing Training, Consulting, or Service Agreement between the parties.
1.1 All training materials, consulting deliverables, reports, digital content, software tools, methodologies, and frameworks provided by LDSemis remain the exclusive intellectual property of LDSemis.
1.2 The Client is granted a limited, non-transferable, internal-use-only license to access and use such materials for its own internal business purposes.
1.3 The Client shall not reproduce, distribute, sublicense, resell, or use LDSemis’ intellectual property to create derivative works or competitive offerings without prior written consent.
2.1 Both parties acknowledge that in the course of training or consulting, Confidential Information may be exchanged (including business data, design methodologies, deliverables, reports, or other proprietary insights).
2.2 The Client agrees to:
Use LDSemis’ Confidential Information solely for agreed internal business purposes.
Prevent disclosure of such information to third parties without prior written consent.
Apply at least the same degree of care it uses to protect its own confidential information.
2.3 LDSemis likewise agrees to protect Client’s confidential information and not disclose it to third parties without prior written consent, unless required by law.
The Client shall not record, copy, or distribute LDSemis training sessions, workshops, or consulting meetings without written approval.
The Client shall not use LDSemis deliverables for external distribution, resale, or publication without written approval.
Any unauthorized use of LDSemis intellectual property or confidential material will entitle LDSemis to seek injunctions, damages, and legal remedies under applicable law.
This Agreement shall remain in effect throughout the duration of the engagement and will survive termination with respect to Intellectual Property and Confidentiality obligations.
This Agreement is governed by the laws of India, and disputes shall fall under the exclusive jurisdiction of the courts in Kolkata.
By signing below, both parties acknowledge and agree to the terms of this Intellectual Property & Confidentiality Agreement Addendum.
